For Placement Agents

Built for independent placement professionals.

Raise capital across Europe under a BaFin-supervised regulatory home — without building your own investment firm. substnz provides the MiFID II license framework, passporting, and compliance infrastructure so you can focus on mandates and investors.

substnz Capital Partners GmbH is a BaFin-supervised investment firm in Hamburg, Germany, registered with BaFin under ID 157452. It is licensed under the German Securities Institutions Act for Anlagevermittlung (investment broking) and Anlageberatung (investment advice), with MiFID II passporting to 18 EEA markets. Independent placement agents can operate as tied agents under substnz’s license and liability, From first call to operational: 7 to 12 weeks where the tied agent is established in Germany, and 10 to 16 weeks where the tied agent is established in another EEA state. Both are best case ranges, and the clock starts once your due diligence documents are complete.

Why placement agents choose the tied agent model

Obtaining and operating your own investment firm license is capital-intensive, operationally demanding, and slow to passport across Europe. For independent placement agents focused on alternative investments, the tied agent model offers a pragmatic path: you remain in control of your mandates and investor relationships while a licensed investment firm provides the regulatory umbrella, supervisory reporting, and European market access.

At substnz, we work exclusively with professionals serving professional and institutional clients. You bring the network and execution; we provide registration with the competent tied-agent register, ongoing compliance, and infrastructure so you can compete with the reach of larger distribution platforms.

What you receive as a placement agent at substnz

A clear regulatory home

Operate as a tied agent registered in the country where you are established, under substnz’s investment firm license. Your activity is supervised within a purpose-built framework for investment broking and advice to professional clients.

MiFID II passporting

Serve qualified investors across 18 EEA jurisdictions through a single passported structure, without the firm establishing a local licensed entity in each market. Tied-agent registration still follows the country where you are established.

Economics you can retain

Transparent commercial terms designed for independent agents. Keep more of what you generate, with a fee structure that reflects your role as originator and relationship owner.

Your mandates, your relationships

You choose sponsors and products that fit your network. Client relationships and mandate pipelines remain yours; substnz does not compete for your investors.

Technology platform included

Access investor CRM, pipeline tracking, virtual data rooms, and invoicing tools that support professional fundraising workflows end to end.

Compliance handled at the principal level

Regulatory reporting, AML/KYC oversight, and supervisory interfaces are managed by substnz as the licensed firm, freeing you to focus on origination and execution.

4

Go-live and ongoing support

You receive platform access, handover on operational processes, and continuous compliance support as you scale your placement practice.

Who this is for

Experienced independent placement agents and boutique placement firms raising capital for alternative investment strategies across private markets.

Former heads of distribution, capital formation leads, and senior fundraisers who want autonomy and European reach without the overhead of a proprietary investment firm.

Who this is not for

This model is not designed for retail investment advice, mass-market distribution, or firms whose strategy requires them to be the named regulated counterparty in their own right.

If your business model depends on holding client assets, executing orders on own account, or marketing substnz as your product brand rather than operating as a tied agent under a principal, a different regulatory setup may be more appropriate.

Questions from placement agents

Do I need my own investment firm or BaFin license?

No. As a tied agent of substnz, you provide Anlagevermittlung and related services under our investment firm license and our regulatory responsibility, subject to the tied agent regime and your registration with BaFin.

Who is the regulated firm in front of managers and investors?

substnz Capital Partners GmbH is the licensed investment firm. You act on our behalf within the scope agreed in your tied agent arrangement, with clear allocation of responsibilities for conduct, documentation, and investor classification.

Can I keep my economics and choose which mandates I work on?

Yes. You retain ownership of your investor relationships and decide which sponsors and transactions align with your network, within our risk appetite and product governance. Commercial terms are agreed transparently at onboarding.

How long does it take from first call to being able to place?

From first call to operational: 7 to 12 weeks where the tied agent is established in Germany, and 10 to 16 weeks where the tied agent is established in another EEA state. Both are best case ranges, and the clock starts once your due diligence documents are complete.

What ongoing burden falls on me versus substnz?

You remain responsible for fair, clear, and not misleading communications with your professional clients and for day-to-day deal execution in line with agreed procedures. substnz carries principal-level compliance, reporting to supervisors where required, and the regulatory infrastructure that supports passporting.
